Mehdi Khodadad is the Global Co-Leader of the M&A and Private Equity Group and a member of the Executive Committee at Sidley Austin LLP. His practice focuses on representing leading technology and life sciences companies, as well as private equity and investment sponsors, across a broad range of transactions.

Mehdi counsels corporate clients, entrepreneurs, and investors on private and public financings, corporate restructurings, mergers and acquisitions, leveraged buyouts, and related private equity transactions—both domestic and cross-border. He also advises boards of directors, management teams, and special committees on complex securities law and corporate governance matters.

He has been recognized by Chambers USA for California Private Equity: Buyouts (2021–2025), and is a two-time recipient of Law360’s “Private Equity MVP of the Year” award (2022, 2024). Mehdi was named a “Dealmaker of the Year” by The American Lawyer in both 2015 and 2023 for his work on some of the most innovative and high-profile transactions in the market.
